Ladies and Gentlemen:

Please be reminded  that Texas Regional Entity will hold a “straw” pre-membership meeting of a new legally separate Texas Regional Entity at 8:30 a.m. to noon on Tuesday, November 24, 2009, in Room 206, at ERCOT’s Met Center, 7620 Metro Center Drive, Austin, Texas.

The purpose of this meeting is to allow the potential members (the “straw members”) of a Texas Regional Entity that is legally separate from ERCOT to ask questions and provide feedback regarding the following:

• Next steps for formation of the new legally separate corporation
• Proposed Bylaws and Amended Delegation Agreement

We received very few comments to the Bylaws and Delegation Agreement that were sent to you and posted on the Texas RE website on October 30, 2009, but the comments received are noted in the Bylaws and Presentation materials that are posted for the meeting. 

The following documents are posted for your review for the November 24 meeting.

• Amended Delegation Agreement (clean and with redlines to the current, FERC-approved documents), including the following Exhibits:
• Exhibit A – Geographic Footprint
• Exhibit B – Governance (includes bylaws)
• Exhibit C – Standards Development Process
• Exhibit D – CMEP and regional Hearing Process and Procedures
• Exhibit E – Funding
• Bylaws (showing redlines to the version sent out for comment)
• Presentation, including Membership Sector Lists and Separation Plan as Attachments
• Budget and Business Plan Overview
• Potential Member Entity Lists by Sector
